1. Service Agreement & Definitions
These Terms (“Terms”) govern the provision of time management consulting services, including audits, training, and tool integration (“Services”) between RTM and the Client. “Confidential Information” includes time utilization data, project roadmaps, and performance metrics.
2. Engagement & Scope
Services are outlined in mutually signed Statement of Work (SOW). Alterations require written change order. Our responsibility excludes third-party services (e.g., Slack outages). Client must provide accurate data; RTM is not liable for omissions.
3. Fees & Payment
Fees are net 30 unless otherwise stated. Late payments incur 1.5% monthly interest. All prices exclude VAT/sales tax. Cancellation within 7 days for monthly plans allowed; annual contracts have early termination fee of 50% remaining balance.
4. Intellectual Property
Deliverables (reports, dashboards) are owned by Client upon full payment. RTM retains pre-existing IP and tool-specific knowledge. Client grants RTM license to aggregate anonymized benchmark data for research.
5. Confidentiality & Data Protection
Both parties maintain confidentiality per DPA signed. RTM adheres to GDPR/CCPA. Breach notification within 48 hours. Exclusions: information voluntarily disclosed to third parties, or publicly known.
6. Limitation of Liability
RTM’s liability is capped at fees paid in prior 12 months. Not liable for indirect damages (e.g., lost profits from time mismanagement). This section survives termination.
7. Termination & Dispute Resolution
Either party may terminate with 30 days notice. Disputes resolved via binding arbitration in London under LCIA rules. Prevailing party recovers costs.
8. Modifications
RTM reserves right to amend Terms with 30 days notice. Continued use constitutes acceptance. Email notification to client’s primary contact.
